Shop Subscriber Agreement

Inspection companies accept this agreement when they register at /trial or, if IntellectSpect created the shop, the first time a company admin opens the office. Public Terms of use and Privacy also apply.

Who this binds

This Shop Subscriber Agreement is between IntellectSpect (the software provider) and the inspection company named on the registration or company record (the Shop). By checking the box on the trial form, or by accepting this agreement in the company admin console, the person signing warrants they are an authorized representative of the Shop and can bind it. If they are not, they must not accept.

Software, not inspections

IntellectSpect provides software for inspection companies. It does not perform inspections, certify properties, give legal advice, or replace professional judgment. AI-assisted drafting (voice fill, photo notes, and similar tools) is a starting point. Inspectors must review and approve every report before delivery.

Fees and payment in full

When the Shop is live, IntellectSpect invoices monthly on the live anniversary: the same calendar date each month from when the Shop went live. A January 31 start bills on the last day of shorter months. Standard pricing is $99 per inspector seat for the first three live months, then $139 per inspector seat, plus $2 per report after 20 reports in that month. The first live month has unlimited reports (no $2 overage). Canada Shops are billed in CAD plus GST/HST, QST, or PST for their province. US Shops are billed in USD with no IntellectSpect tax. Custom seat prices the site owner sets for a Shop replace the $99/$139 sticker for that Shop. The Shop pays each invoice in full on the due date (the anniversary). Unused reports do not carry over. Seat count is the inspectors on the Shop that month. Fees already invoiced are not refunded because the Shop used fewer reports or fewer seats later in the period. A card is optional during trial. Canadian live Shops may pay a due invoice by Interac e-Transfer instead of a card.

Two-day grace, then suspend

If an invoice is unpaid on the due date (including a failed automatic card charge), IntellectSpect emails the Shop’s admins and IntellectSpect’s master-company admins. A two-day grace period follows the due date. If the invoice is still unpaid after those two days, IntellectSpect suspends the Shop. Suspended inspectors cannot use the product on web or phone. The Shop admin can still sign in on the website to pay. Paying restores the Shop unless it is also locked. The site owner may also suspend or lock a Shop for other reasons in the product terms.

Cards and the 10-cent validation

If the Shop chooses card payment, adding or updating a card on Billing charges a $0.10 validation (ten cents) in the Shop’s billing currency, then refunds it. If the card network or Stripe cannot take $0.10, IntellectSpect charges $0.50 instead and refunds that. Saving a card authorizes IntellectSpect to charge the monthly invoice automatically on the due date. Failed charges still count as unpaid and follow the two-day grace. A chargeback or payment dispute on a paid invoice returns that period to unpaid.

Contracts, reports, and templates

The Shop is solely responsible for every contract, report, comment, template, standard of practice, official form, and related document the Shop generates, uses, sends, or stores on IntellectSpect, whether IntellectSpect supplied it, the Shop uploaded it, or an inspector wrote it. Platform agreement templates are examples only. Have a lawyer review them for the Shop’s situation. IntellectSpect does not provide legal advice. Client inspection agreements are between the Shop and its clients, not IntellectSpect.

Credentials and access

Keep login credentials confidential. Notify IntellectSpect promptly if you suspect unauthorized access. The Shop is responsible for its staff’s use of the product.

Data

Inspection data belongs to the Shop. IntellectSpect hosts it to deliver the product. IntellectSpect does not sell, rent, or harvest company client lists. Clients only access reports through credentials issued for that job.

Archive

Reports archive six calendar months after the inspection date unless a company admin unlocks them. Archived reports are not editable until unlocked. Clients cannot use the client portal while a report is archived.

Third-party services

Stripe, OpenAI, mail, maps, and similar providers have their own terms. If the Shop pastes its own OpenAI key, the Shop is that provider’s customer for those calls.

Availability

The product is provided as-is. IntellectSpect does not warrant uninterrupted service. Outages, maintenance, and third-party failures can happen.

Termination

The Shop can stop using the product. Unpaid invoices remain due. IntellectSpect may refuse or close a Shop that does not pay, that abuses the service, or that IntellectSpect cannot support.

Changes

IntellectSpect may update this agreement. Material changes will be posted at /shop-agreement with a new version date. Continued use after notice is acceptance of the updated agreement. A Shop that does not accept a new version should contact IntellectSpect and stop using the product.

Electronic acceptance

Checking the box on the trial form, or tapping Accept in the admin console, is a binding electronic signature. IntellectSpect stores the version, the time, and the name of the person who accepted.
